Terms of Service

1. Introduction

Welcome to Efficax One Global LLC ("EfficaxOne", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of the EfficaxOne Construction Commercial Support platform, including all applications, websites, services, and tools provided by Efficax One Global LLC (collectively, the "Platform").

By accessing or using the Platform, you ("Client", "Operator", "User", or "you") agree to be bound by these Terms. If you do not agree, you must stop using the Platform immediately.

These Terms form a legally binding agreement between you and Efficax One Global LLC, a limited liability company registered in the State of Wyoming, United States.

2. Definitions

Client / Company: A business entity using the Platform to obtain Construction Commercial Support services such as quantity surveying, take-off measurement, tender support, document administration, and digital back-office services.

Operator / Remote Operator: An individual contractor or service provider performing tasks, measurements, or administrative work on behalf of clients through the Platform.

Services: All digital and professional services provided via the Platform, including estimating, take-offs, tender management, document processing, contract administration, and AI-assisted operations.

AI Tools: Automated tools or algorithms assisting with take-offs, document search, BOQ creation, or general construction-related analysis.

Account: A registered user profile created to access the Platform.

3. Eligibility

To use the Platform:

• Clients must be legally registered businesses or authorized representatives of such businesses.
• Operators must be legally eligible to work as independent contractors in their respective jurisdictions.
• Users must be at least 18 years old.

By using the Platform, you confirm that you meet these eligibility requirements.

4. Use of the Platform

4.1 Client Responsibilities

Clients agree to:

• Provide accurate project information, documents, and instructions.
• Ensure access to necessary drawings, specifications, schedules, or contract data.
• Use the Platform only for lawful construction-related purposes.
• Maintain confidentiality of login credentials.

4.2 Operator Responsibilities

Operators agree to:

• Perform assigned work accurately, ethically, and within given timelines.
• Maintain confidentiality of all client and project information.
• Follow Platform guidelines, quality standards, and professional conduct.

4.3 Platform Use Restrictions

Users may not:

• Reverse engineer, copy, resell, or misuse any part of the Platform.
• Upload harmful, illegal, or misleading content.
• Use the Platform for competing services or non-construction-related purposes.
• Interfere with system performance, security, or data integrity.

5. Service Nature and Limitations

EfficaxOne provides digital construction commercial support which may include:

• Quantity surveying & digital take-offs
• Estimation support
• Tender preparation and tender management
• Contract administration assistance
• Measurement and documentation services
• AI-assisted analysis and reporting
• General construction back-office support

EfficaxOne does not provide:

• Licensed engineering or architectural services
• Legal or financial advice
• On-site inspections, supervision, or physical construction activities

All outputs—including take-offs, AI-generated insights, estimates, and documents—are decision-support materials and must be reviewed and approved by the Client's qualified personnel.

6. AI Tools Disclaimer

AI features are provided to assist with speed and efficiency, but:

• AI outputs may contain inaccuracies.
• Users must verify all AI-generated measurements and recommendations.
• EfficaxOne is not liable for decisions made solely based on AI output.
• Clients acknowledge that AI is probabilistic and not a substitute for professional judgment.

7. Fees, Payments, and Billing

7.1 Pricing

All fees for Services, subscriptions, and credits are displayed within the Platform or communicated via proposals.

Prices may change with notice. Continued use after notice constitutes acceptance.

7.2 Payment Terms

• Payments must be made in USD unless otherwise specified.
• Subscription fees are billed on a recurring monthly basis.
• Pay-as-you-go credit purchases are billed at the time of purchase.
• Clients agree to maintain valid payment information.

7.3 Refunds

Refund policies are described within the Platform or on the support site. Refunds may be granted solely at EfficaxOne's discretion, except where required by law.

8. Data Privacy and Confidentiality

8.1 Client Data

Client documents, drawings, and project data remain the property of the Client.

8.2 Confidentiality

Both parties agree to maintain strict confidentiality of all proprietary or sensitive information.

8.3 Data Usage

Client data may be used to:

• Deliver and improve services
• Train internal AI models where permitted and anonymized
• Diagnose performance or security issues

We do not sell client or operator data.

8.4 Compliance

EfficaxOne complies with applicable data protection laws based on client regions, including GDPR where relevant.

9. Intellectual Property

All software, systems, AI tools, and platform materials are the exclusive property of Efficax One Global LLC.

Clients and Operators receive a non-exclusive, limited licence to use the Platform for its intended purpose.

Users may not copy, reproduce, distribute, or create derivative works from platform content without written permission.

10. Third-Party Services

The Platform may integrate third-party services (cloud services, payment processors, communication tools, AI providers, etc.). EfficaxOne is not responsible for actions or failures of these third-party providers.

11. Termination

We may suspend or terminate access if:

• These Terms are violated
• Fraudulent activity is suspected
• Payment obligations are not met
• Misuse of Platform or breach of confidentiality occurs

Clients may terminate their subscription at any time unless bound by a custom contract.

Upon termination, access is revoked but Clients may request export of permitted data.

12. Limitation of Liability

To the maximum extent permitted by law:

• EfficaxOne is not liable for indirect, incidental, special, or consequential damages.
• Our total liability for any claim is limited to the fees paid by the Client within the preceding 3 months.
• EfficaxOne is not responsible for errors in client-provided drawings, data, or instructions.
• All deliverables must be reviewed and validated by the Client's qualified personnel.

13. Indemnification

Clients and Operators agree to indemnify and hold EfficaxOne harmless from any claims, damages, losses, or liabilities arising from:

• Misuse of the Platform
• Violations of these Terms
• Inaccurate information provided by the User
• Unauthorized use of deliverables

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in state or federal courts located in Wyoming.

15. Amendments

We may update these Terms periodically. Significant changes will be communicated via the Platform or email. Continued use constitutes acceptance of updated Terms.

17. Entire Agreement

These Terms constitute the entire agreement between you and Efficax One Global LLC regarding use of the Platform, superseding any prior agreements or discussions.
